RE: [h-e-w] term/w32-win.el could not be found

The barebin distribution doesn't contain the lisp files needed by emacs.
emacs-21.2-fullbin-i386.tar.gz is what you need. (This is explained in
http://ftp.gnu.org/gnu/windows/emacs/README)
