whoops, there it is.  I had some cc-mode elc's in a
"/opt/share/emacs/site-lisp" , which was shared with the 20.3 code.  

problem solved.

Just to be clear here, I understand that there's an interoperability problem
with xemacs-compiled elc's, but is there the expectation that GNU emacs-21
should be able to cleanly load anything byte-compiled with GNU-emacs-20?

Just to be sure it's not some bogus cc-mode: does the following command 
(run outside the debugger, of course) print something interesting?

   ./emacs -q -batch -f list-load-path-shadows

Please run this from the src directory of the tree where you built Emacs
